1. Who We Are

TWO Design ("Agency", "we", "us") is a brand, design, and editorial studio founded in 2010. We are a sole proprietorship registered in Maharashtra, India (GSTIN: 27AMHPB9029R2ZF), operating remotely from Goa.

These Terms of Service govern your use of our website (twodesign.in) and any services, digital products, consultations, or subscriptions you purchase from us.

2. Services

We offer branding, design, content strategy, editorial, and creative consultancy services, as well as digital products and paid consultations. All project-based engagements are governed by individual signed proposals or contracts, which take precedence over these general terms where they differ.

3. Proposals and Contracts

For project-based work, we provide a detailed proposal outlining scope, deliverables, timeline, and cost. Once approved and signed by both parties, the proposal constitutes a binding contract. Any work outside the agreed scope constitutes a Change Request and may be billed separately at our standard hourly rate.

4. Payment Terms

Project-based work:

• A non-refundable advance of 50% of the total project fee is required before work begins.

• The remaining balance is payable upon delivery of agreed milestones, or as a single payment upon final delivery, as specified in the relevant project contract.

Retainer engagements:

• A non-refundable advance of 50% of the first month's retainer is required before work begins.

• Thereafter, the full monthly retainer is payable at the end of each calendar month.

Digital products and consultations:

• Payment is required in full at the time of purchase. Refunds are subject to our Refund Policy.

General:

• All invoices are payable within 5 days of receipt, unless otherwise agreed.

• Overdue balances may be subject to a monthly service fee of 10%.

• Applicable taxes (including GST) are the responsibility of the client and will be added to all invoices.

5. Intellectual Property

For project-based work, full intellectual property rights in the final deliverables are assigned to the client upon completion of the project and receipt of full payment. We retain rights to all preliminary works not incorporated into the final deliverables, and may display completed work in our portfolio and on our website, subject to prior written consent from the client.

For digital products, we grant you a personal, non-transferable licence to use the product for its intended purpose. We retain all underlying intellectual property rights.

6. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as necessary to perform our services, or as required by law. The same obligation applies to the client with respect to any proprietary information shared by us.

7. Third-Party Contractors

We may engage third-party designers, writers, or service providers as independent contractors to assist with project delivery. We are responsible for their compliance with the terms of our client agreements.

8. Limitation of Liability

Our services and work products are provided on an "as is" basis. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services, including but not limited to lost profits, lost data, or business interruption.

9. Termination

Either party may terminate a project engagement with at least 2 weeks' written notice. If the client terminates, we retain all payments made to date, the client shall pay for all work completed and expenses incurred, and no intellectual property rights shall be transferred. Please refer to your individual project contract for full termination terms.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Maharashtra, India. Any disputes arising from these Terms shall be subject to binding arbitration in Goa. The parties irrevocably consent to the jurisdiction of the courts located in Goa.

11. Changes to These Terms

We may update these Terms from time to time. The most current version will always be available on this page, with the date of the last update noted above.
